This English translation is provided for convenience only. The Russian version at https://svodly.ru/legal/terms is the legally binding text and prevails in case of any discrepancy.
1. General provisions
1.1. These Terms govern the use of:
- the marketing website
svodly.ruand the documentation websitedocs.svodly.ru(hereinafter together, the “Site”); - the Svodly cloud service (
api.svodly.ru), the Svodly web application (app.svodly.ru), the automatic update service (updates.svodly.ru) and other services hosted on subdomains ofsvodly.ru(hereinafter together, the “Service”).
1.2. The Terms do not govern the use of the Svodly software itself — that is governed by the License Agreement. Its provisions on the purpose of the software, the reference nature of its output, the rules for its use, the disclaimer of warranties and the limitation of liability (sections 6–9) also apply to the use of the Service. In the event of a discrepancy between the documents, the License Agreement applies as regards the use of the software, and these Terms apply as regards the Site and the Service.
1.3. The Terms do not govern the processing of personal data — that is the subject of the Privacy Policy.
1.4. Operator of the Site and the Service: Individual Entrepreneur Denis Vladimirovich Alekhin (IE Alekhin D. V.), OGRNIP (primary state registration number of an individual entrepreneur): 326774600408601, TIN (INN): 502480379785. Contact: hello@svodly.ru.
1.5. Use of the Site or the Service, including registration of an account, constitutes consent to these Terms (Article 438 of the Civil Code of the Russian Federation, hereinafter the “Civil Code”). If you do not agree, do not use the Site or the Service.
1.6. Registration of an account is permitted for persons who have reached the age of 18. A person registering an account on behalf of an organization confirms that they are authorized to do so.
1.7. In these Terms: User means a person using the Site or the Service; account means the User's account record in the Service; book means a set of the User's accounting records (accounts, transactions, reference lists and related data); book owner means the User who created the book in the Service; member means a User whom the owner has invited to the book.
2. Use of the Site
2.1. The Site is available without registration.
2.2. The User undertakes not to take any actions that disrupt the operation of the Site and the Service.
2.3. The content of the Site (texts, images, design, icons in marketing materials) belongs to the Operator and is protected by copyright. Use of the content for purposes beyond familiarization is subject to agreement with the Operator: hello@svodly.ru.
2.4. The materials of the Site and of the documentation, the Operator's replies to inquiries and the Operator's publications on social media are provided for information purposes only: they describe how the software and the Service work and do not constitute an individual (personal) recommendation, advice on financial, investment, tax or legal matters, or an offer; the exception is the documents published in the “Legal” section of the Site. Descriptions of features relate to specific versions and platforms and are not a guarantee that the features are available or will remain unchanged. Files that the Operator offers for download (spreadsheet templates, sample files) are provided “as is”.
2.5. The Operator's official websites are the svodly.ru domain and its subdomains; the Operator's official pages on social media and in app stores are those linked from the Site. The Operator is not responsible for websites, applications, mailings and messages of third parties that use similar names and design.
3. Account in the Svodly cloud
3.1. Use of the Service requires registration: the User provides an email address and sets a password, or signs in through a supported third-party authorization service (Yandex ID, VK ID; in the iPhone and Mac apps, also Apple). The User's relationship with such a service is governed by the terms of that service; the Operator is not responsible for its availability or actions.
3.2. The User undertakes to provide a valid email address and to keep the password and confirmation codes secret. All actions performed using the account are deemed to have been performed by the User; the consequences of third-party access to the account for reasons attributable to the User are borne by the User.
3.3. Each User registers one account. Multiple registrations to circumvent restrictions are prohibited.
3.4. The Operator may suspend or block an account in the event of a breach of these Terms or of the legislation of the Russian Federation by sending a notice to the account email.
3.5. The account email is the main channel of communication with the User: confirmation codes, access recovery messages and the Operator's notices are sent to it. The User keeps this address active and accessible to them. A message sent by the Operator to the account email is deemed received by the User at the moment it reaches the recipient's mail server, and if it is not delivered for reasons attributable to the User (the address is invalid, the mailbox is full or unavailable), on the day it is sent (Article 165.1 of the Civil Code).
3.6. Access to the account is restored only via the account email or via the authorization service the User used to sign in. If access to them has been lost, the Operator may refuse to restore access to the account until its ownership is confirmed in a manner the Operator deems sufficient.
3.7. The Operator does not ask for the account password or confirmation codes by email, by phone, in messengers or on social media. The User does not disclose them to third parties and, upon learning or suspecting that an outsider has gained access to the account, immediately changes the password and informs the Operator.
4. Restrictions and prohibitions
4.1. The Operator may set and change technical limits on the use of the Service (storage volume, number and frequency of requests, number of recognitions, etc.). The limits are applied automatically and are intended to ensure the stability and security of the Service for all Users.
4.2. When using the Site and the Service, it is prohibited to:
- disrupt the operation of the Site and the Service, or circumvent technical limits and access controls;
- use the Service for hosting or distributing malware, sending spam, or mining;
- upload third-party data without a lawful basis;
- exploit vulnerabilities of the Service; please report any vulnerabilities you discover to the Operator (hello@svodly.ru) before disclosing them to third parties;
- provide the Operator with knowingly false information.
4.3. Shared books (shared access). The book owner decides whom to invite to the book. An invitation (a code or a link) grants access to the book to anyone who uses it before it expires; the User does not pass the invitation on to outsiders and is responsible for the consequences of passing it on. Members of a shared book see its entire content, as well as each other's email addresses and names, and, within the rights granted to them, may change and delete records; the book owner is responsible for the actions of the members they have invited. The Operator does not moderate the content of shared books, does not restore records changed or deleted by members, and does not interfere in the relations between members; disagreements between them are resolved by them independently. Information that a member has already obtained (including copies on their devices and exports) remains with them even after access is terminated: the Operator cannot recall it.
4.4. Information about third parties. The User independently decides what information to enter in books and warrants that they are entitled to enter in them, and to transfer for storage in the Service, information about third parties (counterparties, employees, family members, debtors, creditors and other persons), including their personal data, and that they have the legal grounds and consents required for this. The scope and purposes of processing such information are determined by the User; the Operator processes it on behalf of the User (Article 6(3) of Federal Law No. 152-FZ of 27 July 2006 “On Personal Data”) — solely as part of the User's books and for the purpose of providing the Service to the User. The list of data is the information entered by the User in the books; the actions are recording, storage, clarification, retrieval, granting access to book members, and deletion. The Operator maintains the confidentiality of such data, ensures their security during processing, complies with the requirements of Article 18(5) and Articles 18.1 and 19 of the said Law, confirms the measures taken at the User's request and notifies the User of the cases provided for by Article 21(3.1) of the said Law. Obtaining the consents of third parties, where required, and liability to those persons rest with the User; claims of third parties regarding such information are settled by the User.
5. Availability and support
5.1. The Service is provided “as is”: the Operator strives to ensure its uninterrupted operation but does not guarantee any specific level of availability (SLA) and is not liable for interruptions in its operation.
5.2. The local features of the Svodly software in the desktop and mobile versions work regardless of the availability of the Service; synchronization resumes once the Service is restored. The web application, shared access, exchange rates, securities prices and recognition are unavailable without the Service.
5.3. Support is available at hello@svodly.ru.
5.4. Certain features of the Service use information from external information systems and reference databases (in particular: cash receipt information from the automated information system of the Federal Tax Service of Russia; information from the EGRUL / EGRIP (Unified State Register of Legal Entities / Unified State Register of Individual Entrepreneurs) on legal entities and individual entrepreneurs; the official foreign exchange rates of the Bank of Russia; closing prices of securities on the Moscow Exchange (the MOEX ISS service)). Such information is provided in the form in which the external source returns it (“as is”): the Operator does not guarantee its completeness, accuracy or timeliness, is not responsible for the availability of external systems, and may suspend or disable the relevant features. Autofill results, exchange rates and securities prices are provided for reference purposes only; the User checks them before use. The displayed rates, prices and indicators calculated on their basis do not constitute an individual investment recommendation; the Operator does not engage in investment advisory activities (Article 6.1 of Federal Law No. 39-FZ of 22 April 1996 “On the Securities Market”).
5.5. Synchronization does not replace backups. A change or deletion of records on one device or by one of the book's members is propagated to the other devices and to the cloud copy. If the same record has been changed on different devices at the same time, one of the versions is kept. The Operator is not obliged to keep previous states of books or to restore them as of a particular date; backups of the Service are created to restore its operability and are not intended for restoring the data of an individual User at their request.
5.6. Recognition features (voice input, document recognition) generate a draft using automated algorithms, including those of third-party services, and may make errors. The User checks the draft before saving it. The Operator may limit the number of recognitions and suspend these features.
6. Free of charge
6.1. Use of the Service is free of charge. The Operator may in the future introduce paid plans and paid features; they are not activated without a separate expression of the User's will, and Users are notified of their introduction in advance.
7. Termination of use
7.1. The User may at any time stop using the Site and the Service, delete their account (the procedure is set out in the Privacy Policy) and, beforehand, export their data using the app's built-in export. Deletion of an account, a book or other data in the Service is irreversible: the Operator does not restore deleted items and is not obliged to do so. What is deleted together with the account, including on the device, is described on the page https://svodly.ru/legal/account-deletion; the User saves any data they need before deletion. When the account of the owner of a shared book is deleted, its members lose access to the cloud copy of that book.
7.2. The Operator may stop providing the Service to a User in the event of a breach of these Terms or of the legislation of the Russian Federation, in the event of prolonged inactivity of the account (with prior notice to the account email), and also if the Service is discontinued as a whole (with advance notice to Users).
8. Liability
8.1. The Service is provided free of charge, on an “as is” basis. To the maximum extent permitted by applicable law, the Operator is not liable for losses (including actual damage and lost profit) related to the use of or inability to use the Site and the Service, does not compensate them, and does not pay any penalties, compensation or other amounts in connection therewith.
8.2. The Operator is not liable for:
- the content of the User's data;
- the consequences of third-party access to the account for reasons attributable to the User, including due to disclosure of the password or a confirmation code, access by outsiders to the User's device or email, or actions of fraudsters posing as the Operator;
- the consequences of actions of the User and of the members of the User's books: changing and deleting records, books and the account, replacing the cloud copy of a book, disabling synchronization, passing on an invitation;
- the User's loss of access to the account email or to a third-party authorization service;
- the User's financial decisions made using information from the Service, and their consequences, including interest, penalties, fines and penalty interest;
- failures of third-party services and infrastructure beyond the Operator's control.
8.3. The User is solely responsible for regularly backing up their data (the app's local backups, export) and undertakes not to store in Svodly, and not to send to the Operator in inquiries, passwords, PIN codes, confirmation codes, CVV/CVC codes and full bank card details, API keys, tokens or other secrets.
8.4. Where the Operator's liability cannot be excluded, the Operator is liable only if at fault (Article 401(1) and (3) of the Civil Code), and the aggregate amount of its liability may not exceed 1,000 (one thousand) rubles (Article 15(1) of the Civil Code). The Operator is not liable for failure to perform obligations due to force majeure and other circumstances beyond its reasonable control: decisions and actions of government authorities, failures of communication networks, power supply, equipment and software of third parties, unlawful actions of third parties.
8.5. The Service is provided free of charge. The parties proceed from the understanding that consumer protection legislation, which governs relations under contracts for consideration (the preamble to Law of the Russian Federation No. 2300-1 of 7 February 1992 “On Protection of Consumer Rights”), does not apply to the relations of the parties under these Terms. Paid plans and features, if introduced, are subject to the terms on which they are provided.
8.6. The User independently settles claims of third parties related to the User's data and to the User's use of the Site and the Service. If such a claim or lawsuit is brought against the Operator because of the User's breach of these Terms (in particular, clauses 4.2 and 4.4) or of the law, the User compensates the Operator for the losses caused by that breach (Articles 15 and 393 of the Civil Code). A User who uses the Service in business activities also compensates the Operator for property losses arising in connection with such claims, including the costs of defending against them (Article 406.1 of the Civil Code).
8.7. The limitations of this section apply to the maximum extent permitted by applicable law, do not affect cases where liability cannot be excluded or limited by virtue of mandatory provisions of the legislation of the Russian Federation, and do not limit the rights of the personal data subject.
9. Governing law and dispute resolution
9.1. The Terms are governed by the legislation of the Russian Federation.
9.2. Before going to court, a party that considers its rights violated sends the other party a claim: to the Operator at hello@svodly.ru, to the User at the account email; the response period is 30 (thirty) calendar days from the date of receipt. For disputes within the jurisdiction of an arbitrazh court, compliance with the pre-trial claim procedure is mandatory; for individuals it is recommended. If no agreement is reached, the dispute is to be heard: if the dispute falls within the jurisdiction of an arbitrazh court, by the arbitrazh court at the Operator's place of residence (Article 37 of the Arbitrazh Procedure Code of the Russian Federation); in other cases, by a court of general jurisdiction at the Operator's place of residence (Article 32 of the Civil Procedure Code of the Russian Federation), unless mandatory provisions of the legislation of the Russian Federation establish a different jurisdiction.
10. Changes to the Terms
10.1. The Operator may amend the Terms. The current version is published at https://svodly.ru/legal/terms with its version number and effective date; a new version applies from the effective date stated in it, which may not be earlier than the day of its publication, and has no retroactive effect. For those who started using the Site or the Service after a new version was published, it applies from the start of use.
10.2. Continued use of the Site or the Service after a new version takes effect is deemed consent to the changes. The User independently keeps track of the current version of the Terms. The Operator may additionally announce material changes by the account email, in the app or on the Site; the absence of such an announcement does not affect the entry into force of the new version.
10.3. The Terms are drawn up in Russian. Translations into other languages, if the Operator provides them, are provided for reference purposes only; in the event of a discrepancy, the Russian text prevails.
10.4. The invalidity of individual provisions of these Terms does not entail the invalidity of the remaining provisions or of the Terms as a whole (Article 180 of the Civil Code).
